- "Services" means all services provided by Graid Ai, including the marketing website and public registry at graid.ai, the mobile application and transaction platform at app.graid.ai, the AI pre-grading service, official grading and encapsulation service, public lookup registry, and all related features across both platforms.
- "User," "you," or "your" means any person who accesses or uses the Services or submits cards to Graid Ai.
- "Submission" means any physical trading card or collectible you send to Graid Ai for official grading and encapsulation.
- "Pre-Grade" means the automated AI-generated estimate of a card's condition produced by the Graid Ai application based on digital photographs.
- "Official Grade" means the grade assigned to a physical card by a Graid Ai grader following in-person inspection at our facility.
- "Slab" means the tamper-evident enclosure in which a graded card is sealed following official grading.
- "Registry" means Graid Ai's publicly accessible database of graded and certified cards.
2. Service Description
The Services are intended for use by residents of the United States only. Graid Ai does not represent that the Services are appropriate or available for use in other locations. Accessing the Services from territories where their content is illegal is prohibited. By using the Services, you represent that you are a United States resident.
Graid Ai operates two primary digital platforms: graid.ai (the Graid Ai marketing website, information hub, and public card registry) and app.graid.ai (the Graid Ai mobile application through which card submissions, pre-grading, checkout, and account management are conducted). References to "the Services" in these Terms encompass both platforms and all features available through either. Transactions, payment processing, and card submissions are currently conducted through app.graid.ai.
Graid Ai provides two primary services:
- AI Pre-Grading: A proprietary digital grading service that applies Graid Ai's machine learning algorithms and computer vision technology to analyze card condition from images submitted through the Graid Ai application. The specific methods, models, and algorithmic processes underlying this service are proprietary and confidential. The AI Pre-Grade returns an estimated condition assessment across our four grading dimensions. This service is advisory only — see Section 6 for the full pre-grade disclaimer.
- Official Grading & Encapsulation: A comprehensive grading process that combines Graid Ai's proprietary artificial intelligence technology with expert human grader review and final determination. Physical cards submitted to our facility are assessed through this combined AI-assisted and human-verified process, assigned an Official Grade, and permanently encapsulated in a Graid Ai slab. Official Grades are recorded in the Graid Ai Registry.
Graid Ai reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice to users. We also reserve the right to refuse any Submission for any reason, including but not limited to cards that appear counterfeit, trimmed, chemically altered, or otherwise not in their original manufactured state.
3. Eligibility & Account
- You must be at least 18 years of age to use the Services or submit cards to Graid Ai. By using the Services, you represent and warrant that you meet this requirement.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You agree to provide accurate, current, and complete information when creating an account or submitting an order. Graid Ai is not liable for errors resulting from inaccurate information you provide.
- You may not create an account for fraudulent purposes, misrepresent your identity, or use another person's account without authorization.
- Graid Ai may suspend or terminate your account for violation of these Terms, fraudulent activity, or any conduct that Graid Ai reasonably believes harms other users or the integrity of the Services.
4. Submissions & Shipping
4.1 Packaging Requirements. You are responsible for safely packaging Submissions. Cards must be submitted in semi-rigid card sleeves or toploaders with adequate bubble wrap or padding. Graid Ai is not liable for damage caused by inadequate packaging.
4.2 Minimum Order. A minimum of ten (10) cards is required per submission order. This minimum may be waived or modified at Graid Ai's discretion in connection with promotional offers, special events, authorized partnerships, or with Graid Ai's prior written agreement. Applicable minimums, if different from the standard, will be clearly communicated at the time of the relevant offer or agreement.
4.3 Inbound Shipping Risk. All Submissions are shipped at your sole risk and expense. Graid Ai assumes no responsibility for loss, theft, damage, or delay during inbound transit from you to our facility. Cards are not in Graid Ai's custody until physically received and logged at our facility. We strongly recommend insuring inbound shipments for the full declared value of the cards.
4.4 Order Number. All packages must include your Graid Ai order confirmation number. Packages received without an order number may be held for up to thirty (30) days while Graid Ai attempts to identify the sender. Graid Ai is not liable for processing delays caused by missing order numbers.
4.5 In-Custody Liability. Graid Ai accepts responsibility for Submissions from the point of confirmed receipt and entry into our system. In the event of loss or physical damage to a Submission while in Graid Ai's custody, Graid Ai's total liability is limited to the lesser of: (a) the declared replacement value stated at submission; or (b) the fair market value or repair and replacement cost of the item, as determined by Graid Ai in its sole and reasonable discretion through any means Graid Ai deems appropriate. Graid Ai reserves the right to dispute declared values that appear materially inconsistent with the card's actual market value and to set a reasonable maximum declared value per card for any order where adequate supporting documentation of value is not provided. This compensation shall be your sole and exclusive remedy for any loss or damage to your Submission while in Graid Ai's custody, and you irrevocably release Graid Ai from any further liability arising from such loss or damage, including liability for any intrinsic, sentimental, speculative, or market appreciation value of any card.
4.6 Return Shipping. Completed orders are returned via FedEx or a comparable carrier. All return shipments include the carrier's standard default liability of $100 at no additional cost to the customer.
Return Shipping Protection (Optional Add-On). Customers may elect to add Return Shipping Protection at the time of checkout for a flat fee of $15.00. This add-on raises the coverage applied to the return shipment to a maximum of $1,500.
Coverage may be provided either (a) through the carrier's declared value program, or (b) through a third-party shipping insurance provider such as ParcelGuard. Graid Ai selects the method at its discretion and may change providers at any time. Where coverage is provided by carrier declared value, it represents the carrier's contractual maximum liability and is not an insurance policy. Where coverage is provided by a third-party insurer, it is subject to that insurer's policy terms, exclusions, deductibles, and claims process.
In all cases, coverage is subject to the provider's own terms, packaging adequacy standards, and claims approval process, all of which are outside Graid Ai's control. Graid Ai bears no liability for loss or damage during return shipping regardless of whether Return Shipping Protection is elected. All claims arising from return shipping must be filed by the customer directly with the applicable carrier or insurance provider. Graid Ai's sole obligation upon a return shipping loss or damage event is to provide the customer with the shipment tracking number, confirmation of dispatch, and the identity of the coverage provider.
4.7 Inspection on Return. You must inspect all returned Submissions within fourteen (14) days of delivery and report any issues in writing to support@graid.ai. Claims not reported within fourteen (14) days of confirmed delivery are irrevocably waived. Graid Ai shall have no liability for any damage or discrepancy reported after this period.
4.8 Abandoned Submissions. If you do not respond to Graid Ai communications regarding a completed order within thirty (30) days of notification, or do not arrange return shipping within thirty (30) days of notification, your Submission may be deemed abandoned at Graid Ai's sole discretion. Graid Ai may charge storage fees for orders held beyond thirty (30) days. Abandoned Submissions may be disposed of, donated, or otherwise dealt with by Graid Ai after a further thirty (30) day notice period without further liability to you.
5. Grading & Certification
5.1 Combined Scanning, AI, and Human Process. Official Grading at Graid Ai is conducted through a proprietary process that combines proprietary high-resolution scanning and imaging technology, artificial intelligence analysis, and expert human grader judgment and final determination. This integrated approach is designed to deliver consistent, accurate, and professional results. The specific scanning equipment, imaging methods, technology, algorithms, and workflow underlying this process are proprietary and confidential.
5.2 Human Final Determination. While Graid Ai employs proprietary scanning and AI technology to assist the grading process, all Official Grades are subject to human grader review and represent human expert final determination. The grading process retains an inherently subjective dimension. Graid Ai does not guarantee any specific grade on any Submission. Graid Ai's Official Grade represents the final output of its combined scan-assisted, AI-assisted, and human-verified grading process at the time of assessment and is not subject to revision based on third-party opinion, subsequent market developments, or grade disagreement by the submitter.
5.3 No Cross-Company Grade Guarantee. Graid Ai makes no representation that its grades will match or be consistent with grades assigned by PSA, CGC, BGS, SGC, or any other grading company.
5.4 Altered & Counterfeit Cards. Cards determined by Graid Ai to be trimmed, chemically cleaned, artificially restored, or otherwise materially altered from their original manufactured state will not be graded or encapsulated. Cards determined to be counterfeit or of questionable authenticity will not be graded. In both cases, the grading fee may still apply depending on the stage at which the determination is made, and the card will be returned ungraded. Graid Ai's determination on these matters is final for purposes of the grading service. Graid Ai reserves the right to report suspected fraudulent or counterfeit activity to law enforcement.
5.5 Ungradeable Cards. Cards that cannot be graded due to excessive damage, missing components, or other conditions that render grading impractical will be returned ungraded. The submission fee may still apply.
5.6 Autographed Cards. Where a Submission bears an autograph, Graid Ai notes this on the slab label as “AUTOGRAPH” or “AUTO.” Graid Ai does not assign a grade to the autograph itself. The Official Grade reflects the condition of the card only, and no separate signature grade is issued or implied. The autograph notation records the presence of a signature on the card; it is not an authentication service and is not a representation, warranty, or guarantee of the autograph's genuineness, origin, or value. Graid Ai does not provide autograph authentication services.
6. AI Pre-Grade Disclaimer
Read Carefully — This Limits Graid Ai's Liability. Graid Ai's AI Pre-Grades are condition estimates produced by proprietary machine learning algorithms and artificial intelligence technology. The specific models, data, and processes underlying the AI Pre-Grade are proprietary and confidential. AI Pre-Grades are not a guarantee, warranty, or promise of any Official Grade, and they create no obligation on Graid Ai to assign any particular grade. The accuracy of any AI Pre-Grade is dependent on the clarity, angle, lighting, and resolution of the submitted images, as well as the inherent limitations of any AI-based technology. Physical defects that are not detectable in digital images — including but not limited to surface scuffs visible only under specific lighting, microscopic corner wear, or damage on the reverse of a card — may not be reflected in an AI Pre-Grade. Official Grades are determined through Graid Ai's combined AI and human review process applied to the physical card and may differ — in either direction, and sometimes significantly — from any prior AI Pre-Grade estimate. Graid Ai expressly disclaims all warranties of accuracy, completeness, fitness for purpose, and merchantability with respect to AI Pre-Grades. AI Pre-Grades should not be used as the sole or primary basis for any financial decision, purchase, sale, insurance, or valuation of any card.
7. Fees & Payment
- All fees are payable at the time of order completion through the Graid Ai application checkout. Payment is processed by a third-party payment provider. By providing payment information, you authorize Graid Ai and its payment provider to charge the applicable fees.
- All fees are stated in US dollars and are exclusive of any applicable taxes. You are responsible for all applicable federal, state, and local taxes on transactions with Graid Ai.
- Graid Ai reserves the right to modify its pricing at any time. Price changes will apply to orders placed after the effective date of the change. Graid Ai will endeavor to communicate pricing changes via the application or website prior to the effective date but is not obligated to provide advance notice of any specific duration.
- Promotional pricing, referral credits, and discount codes are subject to their specific terms and are not combinable unless expressly stated.
- If your payment method fails and you do not provide an alternative within five (5) business days of notification, Graid Ai may cancel your order and return your Submission at your expense.
8. Refund Policy
8.1 General. All fees paid to Graid Ai are non-refundable once you have shipped your Submission to Graid Ai, except as set forth below or as required by applicable law.
8.2 Order Cancellation. You may cancel your order and request a refund of fees paid, less any non-recoverable payment processing fees already incurred, only if you have not yet shipped your Submission. To cancel, contact support@graid.ai with your order number before you ship your cards. Once your Submission has been shipped, the order may not be cancelled and fees are non-refundable, whether or not the Submission has yet been physically received at our facility.
8.3 Loss or Damage in Graid Ai's Custody. If Graid Ai determines, in its sole discretion, that a Submission was lost or physically damaged while in Graid Ai's custody, Graid Ai's sole obligation is to provide compensation up to the in-custody liability limits set forth in Section 4.5. This compensation constitutes your sole and exclusive remedy. Graid Ai is not obligated to source, locate, or procure a replacement card of any kind.
8.4 Wrongly Rejected Cards. If you believe Graid Ai has incorrectly determined a card to be counterfeit, trimmed, or altered, you may submit a written challenge to support@graid.ai within fourteen (14) days of notification of rejection, accompanied by any supporting documentation you wish to provide. Graid Ai will conduct a secondary review by a senior grader within thirty (30) business days. Graid Ai's determination following such review shall be final, binding, and not subject to further appeal. Graid Ai bears no obligation to reimburse any costs you incur in gathering or preparing supporting documentation. If, following review, Graid Ai confirms the rejection was made in error, Graid Ai will refund the grading fee for that individual card. No other compensation is owed.
8.5 No Refund for Grade Disagreement. Graid Ai does not issue refunds because you disagree with the assigned Official Grade. Grade disagreements may be submitted for review per Section 8.4 procedures, but grade opinion differences alone do not entitle you to a refund.
8.6 Refund Processing. Approved refunds will be processed within ten (10) business days of Graid Ai's written confirmation of approval. Graid Ai is not responsible for any delays caused by your financial institution or payment processor in posting the credit. Refunds will be issued to the original payment method only.
9. Intellectual Property
- The Graid Ai name, logo, slab design, label design, grade scale, grading rubrics, application software, website content, and all associated intellectual property are owned by or licensed to Graid Ai and are protected by copyright, trademark, and other intellectual property laws.
- By submitting cards to Graid Ai, you grant Graid Ai a perpetual, non-exclusive, royalty-free, worldwide license to display, reproduce, publish, and distribute images of your submitted cards for the purpose of operating the Graid Ai Registry, lookup database, quality assurance, and marketing and promotional materials in any medium, including our website, social media channels, paid advertising, and print. Graid Ai may publish such images without attribution or compensation. Graid Ai will not publish your name or personal details alongside your card images without your consent. This license survives termination of your account.
- Grader notes, grade data, and certification records produced by Graid Ai are Graid Ai's proprietary output. You may share your individual card's grade information and Registry page for personal non-commercial purposes. You may not scrape, reproduce, redistribute, or commercially exploit Graid Ai grade data, grader notes, Registry data, or any other Graid Ai proprietary content without prior written consent.
- Nothing in these Terms transfers any intellectual property rights in the underlying trading card designs, artwork, or brand names associated with submitted cards. Those rights remain with their respective owners.
- By uploading photographs through the Services, you represent and warrant that: (a) you own or have all necessary rights to the photographs you upload; (b) the photographs do not infringe the intellectual property, privacy, or other rights of any third party; and (c) you have the right to grant Graid Ai the license set forth in these Terms. You are solely responsible for any photographs you upload and any consequences of uploading them.
10. Disclaimer of Warranties & Limitation of Liability
Disclaimer of Warranties. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Graid Ai does not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Graid Ai does not warrant that any AI Pre-Grade, grading result, Registry entry, or other output will be accurate, complete, or suitable for any particular purpose. Your use of the Services is at your sole risk.
Important Limitation. To the fullest extent permitted by applicable law: (a) Graid Ai's total cumulative liability to you for any and all claims arising out of or related to these Terms or the Services is limited to the total fees you paid to Graid Ai in the three (3) months preceding the claim giving rise to liability; (b) Graid Ai is not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages of any kind, including lost profits, loss of data, loss of goodwill, loss of card market value, or business interruption, even if Graid Ai has been advised of the possibility of such damages; and (c) Graid Ai is not liable for any fluctuation in the market value of submitted cards before, during, or after the grading process. These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, Graid Ai's liability is limited to the greatest extent permitted by applicable law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Graid Ai, its officers, directors, employees, agents, and successors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your Submission of cards, including any misrepresentation about their authenticity or condition; (c) your violation of these Terms; (d) your violation of any third-party right; or (e) any dispute between you and another user of the Services.
12. Force Majeure
Graid Ai is not liable for any delay or failure to perform its obligations under these Terms to the extent such delay or failure is caused by circumstances beyond Graid Ai's reasonable control, including but not limited to: acts of God, natural disasters, pandemic, epidemic, government action or regulation, civil unrest, labor disputes, carrier delays, equipment failure, power outages, cyberattacks, or interruptions to third-party services (including payment processors, cloud infrastructure, or shipping carriers). In the event of a force majeure event, Graid Ai will make commercially reasonable efforts to notify affected users and will resume performance as soon as practicable. Graid Ai's obligations under these Terms are suspended for the duration of the force majeure event and no liability accrues during such period.
13. Suspension & Termination
13.1 Termination by You. You may close your account at any time by contacting support@graid.ai. Closing your account does not entitle you to a refund of fees for in-progress orders. Any cards already received at our facility will be processed and returned per standard procedures.
13.2 Suspension or Termination by Graid Ai. Graid Ai may suspend or terminate your account immediately and without prior notice if we reasonably believe you have: (a) violated these Terms; (b) engaged in fraudulent, deceptive, or illegal conduct; (c) submitted counterfeit, altered, or misrepresented cards; (d) threatened, harassed, or abused Graid Ai staff or other users; or (e) taken any action that poses a risk to Graid Ai, its users, or the integrity of the Registry.
13.3 Effect of Termination. Upon termination, your right to use the Services ceases immediately. Graid Ai will use commercially reasonable efforts to complete processing and return any Submissions already in our custody, except where: (a) Graid Ai is legally required to hold a Submission; (b) a Submission is suspected to be counterfeit, fraudulent, or evidence of criminal activity; (c) return shipping cannot be arranged due to invalid or undeliverable address information; or (d) the Submission has been deemed abandoned per Section 4.8. In any such case, Graid Ai will hold the Submission for thirty (30) days pending written instruction before exercising its rights under Section 4.8. Provisions of these Terms that by their nature should survive termination — including intellectual property, limitation of liability, indemnification, and dispute resolution — will survive indefinitely.
14. Dispute Resolution
Binding Arbitration — Class Action Waiver — Read Carefully. This section significantly affects your legal rights. Please read it carefully.
14.1 Informal Resolution. Before initiating any formal dispute proceeding, you agree to contact Graid Ai at support@graid.ai with a written description of your dispute, the relief you seek, and your contact information. Graid Ai will attempt to resolve the dispute informally within thirty (30) days. If the dispute is not resolved within thirty (30) days, either party may initiate arbitration as described below.
14.2 Binding Arbitration. Except as provided in Section 14.4, any dispute, controversy, or claim arising out of or relating to these Terms or the Services — including questions of arbitrability — shall be resolved by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in Champaign, Illinois, or via videoconference if mutually agreed. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
14.3 Class Action Waiver. YOU AND Graid Ai EACH WAIVE ANY RIGHT TO PURSUE DISPUTES ON A CLASS, COLLECTIVE, OR REPRESENTATIVE BASIS. All disputes must be brought in your individual capacity and not as a plaintiff or class member in any purported class action, collective action, or representative proceeding. The arbitrator may not consolidate more than one person's claims.
14.4 Exceptions. Notwithstanding the above, either party may: (a) bring an individual action in small claims court for disputes within that court's jurisdiction; and (b) seek injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
14.5 Opt-Out. You may opt out of the arbitration provision by notifying Graid Ai in writing at support@graid.ai within thirty (30) days of first agreeing to these Terms. Your opt-out will not affect any other provision of these Terms.
15. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Subject to the arbitration provision in Section 14, any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Champaign County, Illinois, and you consent to personal jurisdiction in those courts.
16. General Provisions
- Entire Agreement. These Terms, together with our Privacy Policy and any additional terms applicable to specific Services, constitute the entire agreement between you and Graid Ai regarding the Services and supersede all prior agreements.
- Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
- No Waiver. Graid Ai's failure to enforce any provision of these Terms will not constitute a waiver of its right to enforce that provision in the future.
- Assignment. You may not assign or transfer these Terms or any rights hereunder without Graid Ai's prior written consent. Graid Ai may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
- Modifications. Graid Ai may update these Terms at any time. Notice of material changes will be provided via email or in-app notification at least seven (7) days before taking effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree with an update, your sole remedy is to stop using the Services and close your account.
- Contact. Questions about these Terms may be directed to support@graid.ai. Our platforms are accessible at graid.ai (website) and app.graid.ai (application).
